About the Firm
A law practice built on hands-on securities industry experience.
Franklin Law LLP is a law practice devoted to providing seamless, low-cost capital markets solutions to its clients. For entrepreneurs raising capital through private placements or public offerings — via Regulation A+, Form S-1, or Form 10 registration statements — the firm provides efficient preparation and filing of offering documents with the SEC, FINRA, and state administrators.
For foreign companies seeking access to U.S. capital markets through debt or share offerings, the firm prepares and files Form F-1 registration statements and guides clients through the entire IPO and listing process. The firm also advises on raising capital for cryptocurrency and blockchain trading and exchange platforms.
We take the edge off the regulatory fight long before the battle lines are drawn.— Franklin I. Ogele, Esq., Founding Partner
The advantage we bring to our clients is hands-on experience. Our founding partner worked for FINRA and has held senior legal and compliance positions across the securities industry — including as General Counsel and Chief Compliance Officer at ABN Amro Securities (USA) and Santander Investment Securities. He also holds a degree in accounting and worked as a staff accountant at Deloitte, an accounting background that has proven decisive in successfully defending broker-dealers facing FINRA enforcement actions for financial and operational violations.
We represent registered representatives facing FINRA enforcement actions for excessive trading, churning, and other misconduct — bringing industry experience that provides unique insight in defending such matters. Having also run several broker-dealers himself, our founding partner understands first-hand the operational realities of running a broker-dealer. When you retain Franklin Law LLP in a securities industry matter, you retain counsel with both regulatory and practical business-side expertise.
Because of this industry background, we do not seek to complicate matters or manufacture problems — we seek solutions. We anticipate what issues could arise in a typical regulatory or compliance situation and advise accordingly, so that by the time regulators come knocking, the exposure has already been minimized.
